Terms and Conditions

These terms apply to all services provided by WYPE Commercial Cleaning (ABN: 82 487 308 662).
1. The Agreement
By engaging WYPE Commercial Cleaning's services — whether by signing a Services Agreement, accepting a written quote, or making payment — you agree to be bound by these Terms and Conditions.
These Terms and Conditions form the general framework for all services provided by WYPE Commercial Cleaning. The specific scope of work, frequency, pricing, and service areas for each engagement are set out in your individual Quote or Services Agreement, which forms part of this agreement.

2. Definitions
Client / You / Your — The business or individual engaging WYPE Commercial Cleaning services, as named in the Quote or Services Agreement.
Services Agreement — The document that outlines the agreed services, frequency, service area, and pricing for a specific engagement.
Quote — A written estimate provided by WYPE Commercial Cleaning detailing the proposed scope of work and pricing.
Services — Commercial cleaning services provided by WYPE Commercial Cleaning, including routine, periodic, specialist, and add-on services as listed in WYPE's current service menu.
Losses — Any financial losses, damages, legal costs, or other expenses arising out of or in connection with the services.
WYPE / We / Us / Our — Refers to WYPE Commercial Cleaning (ABN: 82 487 308 662), including its principals, employees, agents, and subcontractors.
3. Services
3.1 WYPE provides commercial cleaning services to businesses including, but not limited to, office cleaning, strata cleaning, end-of-lease cleaning, and specialist or periodic cleaning services.
3.2 The specific services provided will be as described in the agreed Quote or Services Agreement. These Terms and Conditions apply to all services unless a specific Services Agreement expressly states otherwise.
3.3 WYPE will perform services with reasonable care and skill, using commercial-grade, eco-conscious cleaning products.
4. Access Requirements
4.1 The Client is responsible for providing safe, timely, and unobstructed access to the premises at the agreed service time.
4.2 If WYPE staff cannot access the premises at the agreed time due to circumstances outside WYPE's control, the service visit may be forfeited without refund.
4.3 The Client is responsible for securing or removing any fragile, valuable, or sensitive items prior to each service. WYPE will take reasonable care, but accepts no liability for items left in cleaning areas.
5. Insurance
5.1 WYPE Commercial Cleaning holds $20,000,000 (twenty million dollars) public liability insurance.
5.2 A certificate of currency is available on request at any time.
6. Subcontractors
6.1 WYPE may engage trained subcontractors to deliver services on its behalf.
6.2 All subcontractors engaged by WYPE are held to the same service standards, training requirements, and conduct expectations as WYPE's direct employees.
7. Re-Clean Guarantee
7.1 WYPE is committed to delivering consistent, high-quality results on every visit.
7.2 If any service falls below the agreed standard, the Client must notify WYPE in writing within 24 hours of the service being completed.
7.3 Upon receiving valid notification, WYPE will return to re-clean the affected area(s) within 24 hours at no additional charge.
7.4 This guarantee applies to services completed under a current Services Agreement and does not cover dissatisfaction caused by factors outside WYPE's control.
8. Payment Terms
8.1 Invoices are issued monthly in arrears following the completion of services.
8.2 Payment is due within 14 days of the invoice date (net 14 days).
8.3 Accepted payment methods will be specified on each invoice.
8.4 All prices quoted are exclusive of GST unless otherwise stated. GST will be added where applicable in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
9. Late Payment
9.1 If payment remains outstanding more than 14 days after the invoice due date, WYPE reserves the right to suspend services until the outstanding balance is settled in full.
9.2 WYPE will provide written notice before suspending services where practical.
9.3 The Client remains liable for any fees incurred during a suspension period that was triggered by their non-payment.
10. Contract Period and Cancellation
10.1 The initial contract period is three (3) months from the commencement date stated in the Services Agreement.
10.2 Following the initial period, the agreement continues on a rolling monthly basis.
10.3 Either party may terminate the agreement by providing 30 days' written notice to the other party.
10.4 Notice must be given in writing to the contact details provided in the Services Agreement.
10.5 WYPE reserves the right to terminate the agreement immediately if the Client breaches these Terms in a material way — including non-payment outstanding beyond 30 days — and fails to remedy the breach within 7 days of written notice.
11. Health and Safety
11.1 WYPE uses commercial-grade, eco-conscious cleaning products in all services.
11.2 Safety Data Sheets (SDS) for all products used are available on request.
11.3 The Client is responsible for disclosing any known hazards, substances, or conditions on the premises that may affect the health or safety of WYPE staff.
11.4 WYPE staff are authorised to cease work immediately if they believe the working environment poses a safety risk, without penalty to WYPE.
12. Photography and Portfolio
12.1 WYPE may photograph completed work for quality assurance and portfolio purposes.
12.2 Photographs will not include identifiable client information, proprietary business materials, or confidential documentation.
12.3 If the Client does not wish for photographs to be taken, they must notify WYPE in writing before the commencement of services.
13. Limitation of Liability
13.1 To the maximum extent permitted by law, WYPE's total liability to the Client for any claim arising out of or in connection with the services is limited to the total fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim.
13.2 WYPE is not liable for indirect, consequential, or special losses, including loss of profits, loss of data, or business interruption.
13.3 Nothing in these Terms limits WYPE's liability for death or personal injury caused by WYPE's negligence, fraud, or any other liability that cannot be excluded under Australian law.
14. Australian Consumer Law
14.1 Nothing in these Terms excludes, restricts, or modifies any rights or remedies the Client may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
14.2 Where WYPE's services are supplied to a consumer within the meaning of the Australian Consumer Law, WYPE provides the consumer guarantees set out in that Act.
15. Dispute Resolution
15.1 If a dispute arises between the parties in connection with these Terms or the services, the parties agree to attempt to resolve the dispute in good faith through direct negotiation in the first instance.
15.2 If the dispute is not resolved within 14 days of written notice of the dispute being given, either party may refer the matter to a mediator agreed by both parties.
15.3 The cost of mediation will be shared equally between the parties unless otherwise agreed.
15.4 These dispute resolution steps do not prevent either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction.
16. Governing Law and Jurisdiction
16.1 These Terms and Conditions are governed by the laws of New South Wales, Australia.
16.2 Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
17. Privacy
17.1 WYPE collects and holds Client information for the purpose of providing services, issuing invoices, and business communication.
17.2 WYPE will handle all personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
17.3 WYPE will not share Client information with third parties except as required to deliver the services (such as to subcontractors) or as required by law.
18. Amendments
18.1 WYPE may update these Terms from time to time. Updated Terms will be provided to the Client in writing with at least 14 days' notice before they take effect.
18.2 Continued engagement with WYPE's services following notice of updated Terms constitutes acceptance of those Terms.
